These Terms of Service ("Terms") govern your use of Aally's website and services operated by ClarityChain ("we," "us," or "our"). By using our services, you agree to these Terms.
1. Services
Aally provides supply chain sourcing, supplier vetting, quality inspection, and freight coordination services for e-commerce and DTC brands. Our services include:
- Supplier research and vetting
- Price negotiation and sample coordination
- On-site factory inspections in China
- Pre-shipment quality verification
- Freight coordination and logistics support
2. Service Engagement
Our engagement begins when you submit a sourcing request through our website and complete the associated payment. The scope of work, deliverables, and timeline will be confirmed after your initial strategy session.
3. Pricing & Payments
- Sourcing & Vetting: $150–$250 flat fee per project
- On-site Inspection: $100–$200 flat fee per order
- Commission: 5–8% on FOB product cost for orders placed through Aally
- Freight Coordination: $100–$200 per shipment (optional)
Payments are processed securely via Stripe. All fees are in USD. The minimum engagement is $200.
4. Your Responsibilities
To ensure the best outcomes, you agree to:
- Provide accurate product specifications and requirements
- Respond to communications in a timely manner
- Review and approve supplier recommendations, samples, and inspection reports promptly
- Make payments on the agreed schedule
5. Our Commitment
We commit to:
- Conduct thorough supplier vetting using our established process
- Provide honest assessments of supplier quality and reliability
- Perform physical on-site inspections when included in your service package
- Communicate proactively about any issues or delays
- Protect your confidential business information
6. Limitation of Liability
While we perform thorough due diligence, we do not guarantee specific outcomes from supplier relationships. We are a sourcing and inspection service — final purchasing decisions and supplier contracts are between you and your supplier.
Our liability is limited to the fees you've paid for the specific service in question. We are not liable for:
- Supplier actions or omissions after our engagement ends
- Shipping damage or delays caused by freight carriers
- Market fluctuations, tariff changes, or regulatory issues
- Indirect or consequential damages
7. Intellectual Property
Supplier reports, inspection documents, and research materials we create for you are yours to keep. Our proprietary processes, supplier databases, and evaluation methods remain our intellectual property.
8. Confidentiality
We treat your product ideas, specifications, and business information as confidential. We will not share your information with competitors or unrelated third parties. See our Privacy Policy for details on data handling.
9. Cancellation & Refunds
- Before work begins: Full refund of sourcing fee
- Work in progress: Partial refund based on work completed, assessed on a case-by-case basis
- Inspection fee: Refundable if canceled 48+ hours before scheduled inspection
- Commission: Non-refundable once an order is placed with a supplier
10. Dispute Resolution
We aim to resolve any disputes quickly and fairly. If an issue arises, contact us at jing.lin@aally.io and we'll work to find a resolution within 5 business days.
11. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
